AGREEMENT TO THESE TERMS

These Terms of Use (the “Terms”) are a legally binding agreement between you (“you”) and Petrel West LLC, doing business as Clerae (“Clerae,” “Company,” “we,” “us,” “our”).

1. OUR SERVICES

The Services are provided from the United States. We do not represent that the Services are available or appropriate in all countries. If you access the Services from outside the U.S., you do so at your own initiative and are responsible for compliance with local laws.

The Services are not designed to comply with industry specific regulations (for example HIPAA, FISMA, GLBA). Do not use the Services in a way that violates applicable law.

2. INTELLECTUAL PROPERTY RIGHTS

We own or license all rights in the Services, including all content, product images, text, graphics, logos, designs, and site functionality (“Content”), and all trademarks and marks (“Marks”).

Subject to your compliance with these Terms, you may access the Services for personal, non commercial use only. You may not copy, reproduce, distribute, sell, license, or exploit any Content or Marks without our prior written permission.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

  • you have legal capacity and are at least 18,

  • information you provide is true, accurate, and current,

  • you will not use bots, scrapers, or automated means to access the Services,

  • you will not use the Services for unlawful purposes,

  • your use complies with applicable laws.

4. ACCOUNTS

If you create an account, you are responsible for maintaining the confidentiality of your credentials and all activity under your account. We may suspend or terminate accounts used for fraud, abuse, or violations of these Terms.

5. PRODUCTS AND AVAILABILITY

We try to display products accurately, but colors and appearance may vary by device. Products are subject to availability. We may modify, discontinue, or limit quantities at any time. Prices may change at any time.

6. ORDERS, PAYMENT, AND PRICING

Payment methods are shown at checkout. You agree to provide accurate billing and shipping information.

All prices are shown in USD or the currency displayed at checkout. Taxes and shipping are calculated at checkout where applicable.

We may refuse or cancel orders for any reason, including suspected fraud, unauthorized transactions, pricing errors, inventory issues, or reseller activity. If we cancel after payment, we will refund the amount paid.

7. SHIPPING, DUTIES, AND INTERNATIONAL ORDERS

Shipping options, fees, and estimated delivery times are shown at checkout. Delivery times are estimates, not guarantees.

International orders: If you order from outside the United States, you may be responsible for import duties, customs fees, brokerage fees, local taxes, and any other charges required by your country. These charges are not included in the product price unless explicitly stated at checkout.

You are responsible for ensuring the products can be lawfully imported into your destination country. We are not responsible for delays, holds, seizures, or returns caused by customs or local authorities.

Risk of loss transfers to you upon delivery to the shipping address provided, to the extent permitted by law.

8. RETURNS AND REFUNDS

Please review our Return Policy before purchasing. Refunds, if approved, are issued to the original payment method. Shipping fees are non refundable unless required by law.

If local consumer laws grant you additional rights (including mandatory cancellation periods), those rights remain unaffected.

9. PROHIBITED ACTIVITIES

You agree not to:

  • scrape or harvest data from the Services,

  • circumvent security features,

  • interfere with site operations or servers,

  • upload malware, spam, or disruptive content,

  • impersonate others or submit false information,

  • reverse engineer the Services except where permitted by law,

  • use the Services for unauthorized commercial purposes or to compete with us.

10. USER CONTENT AND REVIEWS

If you submit reviews, comments, or other content (“User Content”), you represent you have the rights to do so and that it is lawful.

You grant Clerae a worldwide, royalty free, perpetual, irrevocable, non exclusive license to use, reproduce, modify, publish, display, and distribute your User Content for business, marketing, and operational purposes.

We may remove User Content at our discretion.

11. THIRD PARTY SERVICES AND LINKS

The Services may include links or integrations with third parties (payment providers, carriers, analytics). We do not control and are not responsible for third party services or content.

12. PRIVACY

Our Privacy Policy explains how we collect and use personal data. By using the Services, you agree to it.

The Services are hosted in the United States. If you access the Services from outside the U.S., you understand your information may be transferred to and processed in the U.S., subject to applicable law.

13. COPYRIGHT COMPLAINTS (DMCA)

If you believe material on the Services infringes your copyright, send a notice to: customerservice@clerae.com

14. TERMINATION

We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms or for other legitimate reasons, where permitted by law.

15. SERVICE CHANGES AND AVAILABILITY

We may modify, suspend, or discontinue any part of the Services at any time. We do not guarantee uninterrupted access and are not liable for downtime, delays, or errors.

16. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Unless required otherwise by mandatory consumer protection laws, you agree that any dispute will be brought exclusively in the state or federal courts located in Orange County, California, and you consent to personal jurisdiction there.

17. DISCLAIMERS

THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON INFRINGEMENT.

18. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLERAE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLERAE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR ANY PRODUCT WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO CLERAE FOR THE PRODUCTS GIVING RISE TO THE CLAIM (EXCLUDING SHIPPING FEES, TAXES, AND DUTIES).

Some jurisdictions do not allow certain limitations, so some or all of the above may not apply to you.

19. INDEMNIFICATION

You agree to indemnify and hold Clerae harmless from claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, misuse of the Services, or violation of third party rights.

20. ELECTRONIC COMMUNICATIONS

You consent to receive communications electronically. Electronic agreements, notices, and records satisfy legal requirements that communications be in writing.

22. MISCELLANEOUS

These Terms, along with policies posted on the Services, are the entire agreement. If any part is unenforceable, the rest remains in effect.

We may assign our rights and obligations. Our failure to enforce any provision is not a waiver.
